PLEASE READ THESE TERMS CAREFULLY. SECTION 14 REQUIRES MOST DISPUTES WITH SKEDDA TO BE RESOLVED BY INDIVIDUAL ARBITRATION, NOT IN COURT, AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 14.8; THE CLASS ACTION AND JURY TRIAL WAIVERS STILL APPLY TO THE EXTENT PERMITTED BY LAW. SECTIONS 10 AND 11 LIMIT SKEDDA'S RESPONSIBILITY AND LIABILITY.
1. About These Terms
These Terms for Venue Users ("Terms") are an agreement between you and Skedda, Inc., a Delaware corporation ("Skedda", "we", "us"). Skedda and AllBooked are brands of Skedda, Inc., and these Terms apply to both.
Skedda provides booking software to organizations, such as workplaces, sports and recreation facilities, studios, schools and community spaces (each, a "Venue"). These Terms govern your use of that software as a person who views, makes or manages bookings with a Venue, holds a Skedda login, or buys a membership or credit package from a Venue through it, whether accessed directly or through a Venue's own website or app (the "Services").
You accept these Terms when you create a Skedda login, make a booking, or otherwise use the Services. If you do not agree, do not use the Services. If you use the Services through your employer or another organization, that organization's own agreement with Skedda governs its account, and these Terms govern your individual use.
These Terms govern your relationship with Skedda only. Your relationship with a Venue, including the space or service you book and what you pay for it, is governed by the Venue's own terms, rules and policies. If these Terms conflict with a Venue's terms, these Terms govern anything concerning Skedda, and the Venue's terms govern anything between you and the Venue.
2. Eligibility
To create a Skedda login or make a booking, you must be at least 18 years old, or the age of majority where you live if that is higher, unless the Venue allows younger users and applicable law permits it. If you are under that age, you may use the Services only with the permission of your parent or legal guardian, who must agree to these Terms for you and is responsible for your use of the Services. A parent or legal guardian may also make bookings for a minor. The Venue is responsible for obtaining any other consent the law requires for a minor's booking or participation. The Services are not intended for children under 13.
3. Skedda's Role
Skedda provides software only. Skedda is not a party to any booking, membership or other arrangement between you and a Venue, and is not the owner, operator, seller or agent of any Venue or of any space, facility, event or service offered through the Services.
Each Venue decides who may book, which spaces are available, prices, booking rules, approval requirements, cancellation and refund policies, and how bookings are managed. The Venue is solely responsible for its spaces and services, its premises, safety and staff, the accuracy of the information it provides, and its compliance with the law. Skedda does not inspect, verify or endorse any Venue, space, user or listing and does not control what Venues or other users do.
A Venue may approve, decline, change or cancel your booking, change its rules or prices, or remove your access to its account at any time under its own policies. Skedda is not responsible for those decisions. Questions or complaints about a booking, a space, a charge or a Venue's conduct should be directed to the Venue.
4. Bookings
By making a booking, you agree to the Venue's rules and policies shown to you during booking or otherwise made available by the Venue, including any cancellation, lock-in, no-show and check-in requirements.
A Venue may configure the Services to make or change bookings for you automatically, for example by booking a desk for you and checking you in when you arrive at the office. A Venue may also allow its administrators to create, edit or cancel bookings on your behalf. You are responsible for checking your bookings and confirmations and for cancelling any booking you do not need, as the Venue's settings allow.
Depending on a Venue's settings, details of your booking may be visible to other people with access to that Venue's account, including your name, organization, the spaces you have booked and the booking title. Do not include information in a booking title, note or custom field that you do not want others to see, and do not include sensitive information such as health details, government identification numbers or payment-card numbers.
5. Payments
When you pay for a booking, membership, credit package or other item through the Services, you are paying the Venue. The Venue is the seller and merchant of record. Payments are processed by our payment processor, Stripe, through the Venue's own payment account. Card details are collected and stored by Stripe on the Venue's behalf, and full card numbers are never stored on Skedda's servers. Your use of payment features is also subject to Stripe's applicable terms and privacy policy.
By providing a payment method, you authorize the Venue, using the Services and Stripe, to charge it for amounts due under the Venue's prices and policies as made available to you before you book or pay. Depending on the Venue's settings, this may include:
the full price at the time of booking or purchase;
a later charge, made manually or automatically once the booking can no longer be cancelled, which may be up to 90 days before the booking date;
cancellation, no-show, late, damage or other fees under the Venue's policies; and
recurring charges for a membership or other subscription, at the interval shown at checkout, until you or the Venue cancels it.
Your payment method may be kept on file with the Venue for these purposes. Contact the Venue to have it removed.
You can cancel a membership from your profile or by contacting the Venue. Unless the Venue says otherwise, cancellation stops future charges and does not refund the current period. The Venue is responsible for providing any renewal reminders, cancellation methods and other disclosures required by law for memberships and other recurring charges. Pre-paid credit is subject to the Venue's terms, including any expiry, transfer and refund rules.
Refunds, credits, price disputes and taxes are the Venue's responsibility. If you believe you were charged incorrectly, contact the Venue first. You may also be able to dispute a charge with your card issuer. Prices and fees, including any service or processing fee the Venue passes on to you, are set by the Venue and shown before you pay.
Skedda is not responsible for any amount charged, refunded or withheld by a Venue, for declined or failed payments, or for charges your bank or card issuer imposes. Skedda may suspend payment features or your account if it reasonably suspects fraud, misuse or a chargeback made in bad faith.
6. Your Skedda Login
Your Skedda login may be used with more than one Venue. Keep your password and sign-in credentials confidential and do not share your login with anyone. You are responsible for all activity under your login. Tell us promptly at info@skedda.com if you believe your login has been used without your permission.
Provide accurate information and keep it up to date. If you sign in through a third-party provider, such as Google or Microsoft, or through single sign-on configured by your organization, that provider's terms also apply, and your organization may control your access.
You may ask us to delete your Skedda login as described in the Privacy Policy. Records of your bookings and payments remain with each Venue under its own policies.
7. Acceptable Use
You will use the Services only for lawful purposes and in accordance with these Terms and the Venue's rules. You will not, and will not help anyone else to:
make bookings under a false identity, for someone without their permission, or to resell or transfer them without the Venue's permission;
make or keep bookings you do not intend to use, or get around a Venue's booking limits, quotas, prices or approval rules;
access another person's login or a part of the Services you are not permitted to use;
copy, scrape, crawl or extract data from the Services, or use bots, scripts or other automated means to access them, except through features or interfaces Skedda makes available for that purpose;
interfere with, overload, probe or test the vulnerability of the Services, or bypass any security or access control;
reverse engineer the Services, except to the extent the law expressly allows;
upload or send content that is unlawful, harassing, abusive, defamatory, discriminatory or infringing, or that contains malicious code; or
harass, threaten or abuse a Venue's staff or other users.
Skedda may suspend or end your access to the Services, or to particular features, at any time if it reasonably believes you have breached these Terms or the law, to protect the Services, Venues or other users, or if required by law. Where practicable, Skedda will tell you. Ending your access does not cancel or refund a booking with a Venue; contact the Venue about any booking you have paid for.
8. Content and Communications
You keep ownership of information you submit through the Services, such as booking titles, notes, custom fields and profile details ("Your Content"). You grant Skedda and the relevant Venue a non-exclusive, worldwide, royalty-free license to use, store, copy, display and process Your Content to provide the Services, operate the Venue's account and as described in the Privacy Policy. You are responsible for Your Content and confirm that you have the right to submit it.
By using the Services, you agree to receive service messages about your account and bookings, such as confirmations, reminders, changes, cancellations, charges, receipts and password resets, by email, in-app or mobile push notification and, where enabled, connected messaging services such as Slack or Microsoft Teams. These messages are part of the Services and may be sent on behalf of a Venue. A Venue that contacts you outside the Services is responsible for those communications.
If you send Skedda feedback or suggestions, Skedda may use them without restriction or compensation.
9. Privacy
The Skedda Privacy Policy (https://support.skedda.com/en/articles/663120-skedda-privacy-policy) explains how Skedda handles personal information. Each Venue decides how the booking information in its account is used and is responsible for its own privacy practices.
10. Disclaimers, Assumption of Risk and Release
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SKEDDA, ITS AFFILIATES AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS (THE "SKEDDA PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SKEDDA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT A BOOKING WILL BE AVAILABLE OR HONORED, OR THAT ANY INFORMATION PROVIDED BY A VENUE OR OTHER USER IS ACCURATE.
Spaces, facilities, activities and events offered by Venues may involve risks, including the risk of illness, injury, death and damage to or loss of property. Those risks are managed by the Venue and by you, not by Skedda. You are responsible for deciding whether a space or activity is suitable for you and for following the Venue's rules and any safety instructions.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE THE SKEDDA PARTIES FROM ALL CLAIMS, DEMANDS AND DAMAGES OF EVERY KIND, KNOWN AND UNKNOWN, ARISING OUT OF OR RELATED TO (A) ANY VENUE, ITS SPACES, PREMISES, SERVICES, STAFF, POLICIES OR CHARGES, OR (B) ANY DISPUTE WITH A VENUE OR ANOTHER USER. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." YOU WAIVE ANY SIMILAR LAW IN ANY OTHER JURISDICTION.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SKEDDA PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, OR FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, ANY VENUE OR ANY BOOKING, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SKEDDA PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) AND (B) THE AMOUNTS YOU PAID DIRECTLY TO SKEDDA, NOT TO A VENUE, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply to all theories of liability, including contract, tort (including negligence), strict liability and statute, and even if a limited remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, such as liability for fraud or, where the law requires, for death or personal injury caused by negligence or for gross negligence or willful misconduct.
12. Indemnity
To the fullest extent permitted by law, you will indemnify, defend and hold harmless the Skedda Parties from and against any third-party claim, and any resulting loss, liability, damages, cost or expense (including reasonable attorneys' fees), arising out of or related to (a) your breach of these Terms or a Venue's rules, (b) Your Content, (c) your misuse of the Services or (d) your violation of any law or the rights of any third party. Skedda may assume control of the defense of any such claim at your expense, and you will cooperate with that defense.
13. Third-Party Services
The Services may link to or work with services Skedda does not control, such as payment processors, sign-in providers, calendar and messaging applications, and Venue websites. Skedda is not responsible for those services, and your use of them is subject to their own terms.
14. Dispute Resolution and Arbitration
14.1. Informal Resolution
Before starting arbitration or a small claims action, you and Skedda agree to try to resolve any dispute informally. The party with the dispute must send a written notice describing the dispute and the relief sought. Notices to Skedda go to legal@skedda.com, with a copy to the address in Section 17. Notices to you go to the email address on your Skedda login. Each notice must concern one person only and must be signed by that person. If the dispute is not resolved within 60 days after the notice is received, either party may begin arbitration. Limitation periods are paused during that 60-day period.
14.2. Agreement to Arbitrate
Except as provided in Section 14.3, you and Skedda agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services, including the formation, scope, enforceability or validity of this Section 14 (except as stated in Section 14.6), will be resolved by final and binding individual arbitration, not in court. The Federal Arbitration Act governs this Section 14.
14.3. Exceptions
Either party may bring an individual claim in small claims court if it qualifies and stays there. Either party may seek an injunction or other equitable relief in court to stop actual or threatened infringement, misappropriation or violation of its intellectual property rights or of the security of the Services.
14.4. Arbitration Rules and Fees
The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules, as modified by these Terms. A single arbitrator will decide the dispute. If the claim is for US$25,000 or less, it will be decided on written submissions unless the arbitrator requires a hearing. Any hearing will take place by video or telephone, or in the county where you live if you prefer. Skedda will pay the AAA's administrative fees and the arbitrator's fees, except that you will pay any filing fee up to the amount you would pay to file in court. If the arbitrator finds a claim or a demand for relief frivolous or brought for an improper purpose, the fee rules of the AAA's Consumer Arbitration Rules will apply instead. The arbitrator may award any individual relief available in court, and judgment on the award may be entered in any court with jurisdiction.
14.5. Mass Arbitration
If 25 or more demands for arbitration raising similar claims are filed against Skedda by or with the help of the same or coordinated counsel or organizations within 90 days, the demands will be administered in batches of up to 50, with one arbitrator per batch, and the AAA's Mass Arbitration Supplementary Rules will apply. Each demand remains an individual claim decided on its own merits. The first batch will be decided before the others proceed, and the parties will then mediate the remaining demands in good faith. Limitation periods are paused for any demand while it is waiting to be heard. A court with jurisdiction under Section 14.10 may enforce this Section 14.5.
14.6. Class Action and Jury Trial Waiver
YOU AND SKEDDA MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual party seeking it and only to the extent needed for that party's individual claim. YOU AND SKEDDA WAIVE ANY RIGHT TO A JURY TRIAL. Only a court, not an arbitrator, may decide disputes about the enforceability of this Section 14.6. If a court finds this Section 14.6 unenforceable as to a particular claim or form of relief, that claim or relief will be severed and decided by a court under Section 14.10 after the individual arbitration ends, and everything else will be arbitrated.
14.7. Time Limit
To the extent permitted by law, any claim against Skedda must be started within one year after it arises, or it is permanently barred.
14.8. Right to Opt Out
You may opt out of this agreement to arbitrate by emailing legal@skedda.com, with the subject line "Arbitration Opt-Out", within 30 days after you first accept these Terms. Include your name and the email address on your Skedda login. Opting out does not affect any other part of these Terms. In particular, the class action and jury trial waivers in Section 14.6 continue to apply to any claim decided in court, to the extent permitted by law.
14.9. Changes to This Section
If Skedda makes a material change to this Section 14, the change will not apply to any dispute of which Skedda had notice before the change took effect.
14.10. Governing Law and Courts
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. Any claim that is not arbitrated will be decided exclusively by the state or federal courts located in Delaware, and you and Skedda consent to their personal jurisdiction, except that you may bring a claim in the courts where you live if applicable law gives you that right.
15. Users Outside the United States
If you live outside the United States, Section 14.2 through Section 14.5 and Section 14.8 do not apply to you, disputes will be decided by the courts specified in Section 14.10, and Sections 14.6 and 14.7 apply only to the extent permitted by the mandatory law of the country where you live. If you are a consumer in the European Economic Area, the United Kingdom or Switzerland, you may also bring proceedings in the courts where you live, and you retain the protections of any mandatory laws of your country of residence. If you are a consumer in Australia, nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded, and where liability for a failure to comply with such a guarantee can be limited, it is limited to supplying the services again or paying the cost of having them supplied again.
Nothing in these Terms, including Sections 10, 11 and 12, limits or excludes any right or liability that cannot lawfully be limited or excluded where you live. If you are a consumer in the European Economic Area, the United Kingdom or Switzerland, the release in Section 10 does not apply to you, and Skedda is liable in accordance with applicable law for death or personal injury caused by its negligence and for losses caused by its gross negligence, willful misconduct or fraud. If you live in New Jersey, the limitations in Sections 10, 11 and 12 apply only to the extent permitted by New Jersey law, and the indemnity in Section 12 applies only to claims arising from your breach of these Terms.
16. Changes to These Terms
Skedda may change these Terms from time to time. Skedda will post the updated Terms with a new "Last updated" date and, for material changes, give reasonable notice by email, in the Services or on its website. Changes take effect when posted unless the notice states a later date, and they do not apply retroactively to a dispute that arose before they took effect. If you continue to use the Services after changes take effect, you accept the updated Terms. If you do not agree, stop using the Services and ask us to delete your Skedda login.
17. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Skedda about the Services and replace any prior terms between you and Skedda for them. You may not assign these Terms without Skedda's written consent. Skedda may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Skedda's failure to enforce a provision is not a waiver. Skedda is not liable for any delay or failure caused by events beyond its reasonable control. The Skedda Parties may rely on and enforce Sections 10, 11 and 12. Otherwise, there are no third-party beneficiaries of these Terms. Sections 3, 5 and 8 through 17 survive the end of your use of the Services.
